Welcome to Eternity.Photos. These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications offered by Eternity Photos Inc., a Delaware corporation ("Company," "we," "us," or "our").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

1. Description of Services

Eternity.Photos provides digital photo archival services, including but not limited to:

• Integration with third-party photo storage services (such as Google Photos)
• Digital backup and storage of user-selected photographs
• Conversion of digital photographs to physical archival media
• Long-term storage in secure vault facilities

2. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. User Accounts

To access certain features of our services, you may be required to authenticate through a third-party service (such as Google). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User Content

You retain all ownership rights to the photographs and other content you submit to our services ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and archive your User Content solely for the purpose of providing our services to you.

You represent and warrant that:

• You own or have the necessary rights to submit the User Content
• Your User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party
• Your User Content does not contain any unlawful, defamatory, or otherwise objectionable material

5. Prohibited Uses

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload content containing child sexual abuse material or exploitation
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our services
• Use our services for any fraudulent or deceptive purpose

6. Payment and Fees

Certain services may require payment of fees. All fees are stated in U.S. dollars and are non-refundable unless otherwise specified. We reserve the right to modify our fees at any time with reasonable notice to you.

7. Service Availability and Modifications

We strive to maintain continuous availability of our services but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.

8. Intellectual Property

All intellectual property rights in our services, including but not limited to software, designs, trademarks, and content (excluding User Content), are owned by or licensed to Eternity Photos Inc. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written consent.

9. Third-Party Services

Our services may integrate with or contain links to third-party services (such as Google Photos). We are not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is governed by their respective terms and policies.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETERNITY PHOTOS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Eternity Photos Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your User Content, or your violation of these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or our services shall be brought exclusively in the state or federal courts located in Delaware, and you hereby consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

15. Termination

We may terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eternity Photos Inc. regarding your use of our services and supersede all prior agreements and understandings.
